Jamie Liddington explores the impact of the penalty payment introduced under Article 18(2) and the likely interpretation and application of Article 18(2) when the DIFC Court of First Instance has its first opportunity to consider the “new” provision (in the first half of 2015?).

In private equity transactions, an institutional investor will generally seek to acquire a stake in a target and retain the management team to continue to run the business. In the event that an owner manager subsequently resigns from the target, an institutional investor will often want to have the right to a call option over that owner manager’s shares, in favour of either the company or the institutional investor itself. This call option will need to be included in the shareholders agreement and also the articles of the target to be enforceable with respect to the target itself. It would generally be exercisable upon the termination of the owner manager’s employment.

A team from leading UAE law firm, Hadef & Partners, has embarked on another trip to help support refugee camps in Jordan this Ramadan. This is something that is rapidly becoming a programme of continued support.
 
Last year, 2 of the firm’s employees decided to embark on a journey to two of the poorest refugee camps in Jordan and sought support from their families and the wider Hadef Family.  Such was the response to their charitable conviction that they raised AED 65,000 to help Palestinian and Syrian refugees.  These refugees were, and still are, in desperate need of food, medical supplies and education facilities. Our team was able to take supplies directly to planned recipients, whilst covering their own travel and subsistence costs personally. This year they are hoping to do more...
